Contract Specialist – US Mortgage Due Diligence

Role Summary: Opus CMC is seeking a detail-oriented and commercially minded Contract Specialist to manage, review, and support all contractual documentation related to clients and vendors. This role will focus on MSAs, SOWs, NDAs, and related agreements supporting Opus’ US mortgage due diligence and compliance services. The ideal candidate will bring strong domain knowledge in US mortgage due diligence, coupled with hands-on experience interpreting contractual language, identifying risks, and ensuring alignment with regulatory and operational requirements. Key Responsibilities Contract Review & Management Review, analyze, and support negotiation of: • Master Service Agreements (MSAs) oStatements of Work (SOWs) • Non-Disclosure Agreements (NDAs) oAmendments, addendums, and change orders • Ensure contracts accurately reflect: o Scope of mortgage due diligence services • SLAs, turnaround times, and performance metrics oData security, confidentiality, and compliance obligations • Identify contractual risks and flag deviations from standard Opus terms. Mortgage Due Diligence Domain Support Apply working knowledge of US mortgage due diligence including: • Loan file reviews oCredit, income, asset, appraisal, and compliance reviews • Pre-fund, post-close, and QC audits • Ensure contracts align with industry standards, investor guidelines, and client expectations. Compliance & Risk Oversight Support adherence to US regulatory frameworks such as: • CFPB, FHA, Fannie Mae, Freddie Mac, VA, USDA (working knowledge) • Review clauses related to: o Indemnification • Limitation of liability oAudit rights • Data privacy and information security • Partner with internal stakeholders to ensure contractual compliance with Opus policies. Cross-Functional Collaboration Work closely with: • Sales and business development oOperations and delivery teams • Finance and compliance stakeholders oExternal legal counsel (when required) • Act as a contract subject matter resource during client onboarding and vendor engagement. Documentation & Process Improvement Maintain organized contract repositories and version control. • Assist in developing: o Contract templates • Standard clause libraries oPlaybooks for common negotiation scenarios • Support continuous improvement of contract review processes. Required Qualifications Experience 3–5 years of experience in: • Contract review, contract management, or legal/commercial support oUS mortgage due diligence, mortgage operations, or compliance • Direct experience reviewing or supporting MSAs, SOWs, and NDAs is required. Education Bachelor’s degree required. • Law degree (LLB / JD equivalent) preferred but not mandatory. Domain Knowledge Strong understanding of: • US mortgage lifecycle oDue diligence and QC services • Investor and lender requirements • Familiarity with outsourcing/vendor contracts supporting mortgage services is a plus.
