Contract Attorney Needed for Legal Mechanics & Language Review of Two Operating Agreements
I am seeking an experienced U.S.-based contract attorney to review the legal language, structure, and internal mechanics of two Operating Agreements for LLCs. This engagement is strictly limited to legal drafting quality and enforceability, not business negotiation or deal restructuring. Scope of Work Review two Operating Agreements and assess: Legal clarity and internal consistency Whether provisions are enforceable as written Conflicts between sections Ambiguous or contradictory language Missing definitions, cross-reference errors, or structural defects Whether rights, consents, and authorities are properly implemented in the document mechanics Whether sunset, override, or carve-out provisions function legally as intended Whether the agreements would be defensible and operable if enforced as written Explicitly Out of Scope This is not a review of: Business fairness Economic terms Equity splits Control preferences “What should I negotiate” I am not looking for deal advice or renegotiation suggestions — only whether the documents function legally as drafted.
