For more information, visit our website: Job Summary: The M&A Analyst will be responsible for evaluating, analyzing, and supporting the entire lifecycle of mergers, acquisitions, and divestitures. You will be a core contributor to financial modeling, due diligence, and deal execution, while also playing a key role in post-merger integration planning and execution. This position requires a strong proficiency in corporate finance, a high degree of independent judgment, and the ability to manage work assignments of increasing complexity. Key Responsibilities: • Financial Modeling & Valuation: Perform comprehensive financial modeling to assess the financial health of potential targets and determine their value. Analyze financial statements, cash flow, revenue models, and profitability to inform valuation. • Market & Target Analysis: Track potential acquisition targets, monitor relevant market opportunities, and analyze regulatory factors that may impact deal execution. Develop reports that clearly summarize market and valuation insights. • Due Diligence & Risk Identification: Support and lead aspects of the due diligence process, thoroughly examining the financial, legal, operational, and strategic aspects of a potential acquisition target. Identify and communicate key risks and opportunities to ensure a full understanding of the target business. • Deal Execution & Negotiation: Support the negotiation process by creating financial models and supporting the crafting of term sheets and valuation reports. Help determine the appropriate deal structure (e.g., all-cash, stock swaps). • Post-Merger Integration: Develop detailed integration plans in collaboration with cross-functional teams, identifying potential risks and recommending mitigation strategies. Facilitate communication between integrating entities to ensure a smooth transition and ensure post-acquisition value is captured and realized. • Cross-Functional Collaboration & Reporting: Develop reports and presentations that clearly summarize financial performance and valuation for senior leadership and other stakeholders. Collaborate with legal teams, external advisors, and cross-functional teams to inform and support all phases of the deal and integration process. Qualifications: • Educational Foundation: Bachelor's degree (or international equivalent) in Finance, Accounting, Economics, or a related quantitative field. • Professional Experience: 2+ years of relevant professional experience in investment banking, private equity, corporate development, or a related M&A field. • Technical Proficiency: Advanced proficiency in financial modeling, valuation methodologies (e.g., DCF, CCA, PTA), and financial statement analysis. • Communication Skills: Strong verbal and written communication skills with the ability to clearly summarize complex financial performance and valuation insights for diverse audiences. • Independent Judgment: Proven ability to conduct work assignments of increasing complexity under moderate supervision with some latitude for independent judgment. • Problem-Solving: A proactive and analytical approach to identifying and resolving challenges, particularly during the due diligence and integration phases. • Familiarity: Experience working with and analyzing technology or SaaS business models is highly preferred. Preferred Qualifications • Prior internship or relevant work experience in investment banking, private equity, corporate development, or a related field. • Experience with a technology or SaaS business model. • Familiarity with the cybersecurity or AI industry.
