Vice President, Investor Relations – Special Situations
Job Description: • Lead the planning, development, and execution of integrated IR programs and corporate communications for transaction-driven clients in public markets. • Develop and deliver investor positioning, messaging, and materials for IPOs, SPACs/deSPACs, direct listings, M&A transactions, spin-offs, and related capital markets events. • Advise C-suite, boards, and client teams on strategic communications and disclosure best practices, including SEC filings, earnings calls, investor days, and roadshows. • Manage IR strategy and defense plans for shareholder activism (including proxy contests, contested M&A, and governance challenges). • Develop and update comprehensive crisis communication playbooks, coordinate rapid-response strategies, and handle sensitive issues and media inquiries. • Cultivate and maintain strong relationships with institutional investors, analysts, proxy advisors, and key stakeholders on behalf of the clients. • Monitor relevant capital markets and peer activity, synthesize investor feedback, and deliver actionable insights and recommendations to client leadership. • Develop and manage investor decks, press releases, Q&As, FAQs, social media content, and other internal and external communication materials to support client objectives. • Field inbound investor / media calls and email inquiries. • Ensure compliance with all regulatory requirements related to investor relations, including SEDAR filings, SEC filings and disclosures. • Stay updated on relevant regulations and industry best practices. • Manage investor relations/marketing vendors for clients and assist in finding the right vendor to achieve client objectives. • Participate in the firm’s business-development process and pitching prospective clients. • Provide thought leadership, training, and mentorship to team members within the firm, ensuring service excellence and continuous improvement. Requirements: • Bachelor’s degree in Finance, Communications, Business, or related field; MBA, JD, or CFA preferred. • 8+ years of investor relations, capital markets, or financial communications experience with significant transaction exposure (including IPOs, M&A, deSPACs, activism). • Deep capital markets knowledge and sophisticated understanding of SEC regulations and disclosure requirements. • Exceptional written, verbal, and interpersonal communication skills, including executive presence and ability to counsel senior leadership. • Proven track record managing crisis communications and special situations in a high-stakes, fast-paced environment. • Strong project management, analytical, and client service skills. • Experience working in, or advising, multiple industry sectors preferred.
