Senior M&A Financial Modeling Consultant – Build Reusable Diligence Model (Google Sheets)
Project Overview I am seeking a senior financial modeling consultant to build a reusable, plug-and-play M&A diligence model in Google Sheets. This model will be used repeatedly across acquisitions and minority investments. This is not a junior analyst role and not an Excel-only engagement. We are looking for someone with direct M&A, private equity, or investment banking experience who has built transaction-grade models used in live deals. Scope of Work You will design a modular diligence and transaction model that can be quickly adapted across deals with minimal rework. The model should support historical financial inputs on both a monthly and annual basis, EBITDA normalization and adjustments, revenue mix analysis, customer concentration analysis, cost structure and margin analysis, headcount and compensation modeling, and churn or customer loss scenarios. On the transaction side, the model must handle enterprise value and equity value calculations, cash at close mechanics, rollover equity, seller notes, earnouts, and multiple deal structure scenarios. It should allow for downside protection modeling including earnouts, revenue cliffs, and valuation ratchets. Forecasting capabilities should include base, upside, and downside cases, with sensitivity analysis tied to key value drivers. The model must explicitly account for customer concentration risk and clearly separate assumptions from calculations and outputs. From a design perspective, the model must be built natively in Google Sheets, not Excel. It should have a clean, institutional-quality layout with clearly labeled inputs, protected formulas where appropriate, simple scenario toggles, and an executive summary tab suitable for IC or board review. Deliverables The engagement will result in a fully reusable Google Sheets diligence model, along with written guidance explaining how to adapt the model for new deals. A short Loom walkthrough explaining model logic and assumptions is preferred but optional. Engagement Details This is a project-based engagement. The expected timeline is two to four weeks depending on iteration cycles. Budget will be competitive and aligned with senior-level expertise. The role is fully remote.
