International Contract Lawyer – Negotiation, Payment Security & Contract Finalisation
Project Overview We are seeking an experienced International Commercial Lawyer to support the review, negotiation, and finalisation of an international commercial agreement. This role will involve strategic legal advice, targeted redrafting, and negotiation support across multiple iterations until the contract is fully agreed and executed. The ideal candidate will understand not only legal compliance, but also how to structure robust, enforceable payment protection mechanisms in cross-border transactions. The current contract is relatively concise and primarily requires precise legal and commercial drafting around payment milestones, dispatch terms, delivery confirmation, and acceptance mechanisms. The objective is to eliminate ambiguity around when payment obligations arise and when delivery obligations are deemed fulfilled. Key Responsibilities Review existing draft contracts and related documentation Identify legal, commercial, jurisdictional, and payment risks Design and negotiate bespoke payment protection frameworks Draft and strengthen payment, delivery, and acceptance clauses Structure layered security mechanisms appropriate to counterparty and jurisdictional risk Advise on enforceability of assurances, guarantees, and payment undertakings Propose and draft improved contractual language Provide clear, practical legal guidance Support negotiation strategy Revise contracts through multiple iterations Support final execution and completion Ensure alignment with international best practice Required Experience & Skills Qualified lawyer with experience in international commercial contracts Strong background in cross-border transactions Proven experience negotiating complex agreements Demonstrated expertise in structuring secure payment terms in challenging jurisdictions Excellent drafting and redlining skills Commercially minded and solution-focused Ability to explain legal issues clearly and practically Experience with international trade, distribution, or supply agreements preferred Comfortable working remotely across time zones Ideal Candidate Profile We are looking for someone who: ✔️ Thinks strategically, not just legally ✔️ Understands negotiation dynamics and enforcement risk ✔️ Can structure “fair but firm” agreements ✔️ Protects commercial interests without damaging relationships ✔️ Works collaboratively with senior stakeholders ✔️ Is responsive, reliable, and detail-oriented Phase 1 – Strategic Contract & Payment Risk Review (Fixed Fee: £800) The initial phase will include: Comprehensive contract review Legal, commercial, and jurisdictional risk assessment Payment security structure review Identification of negotiation leverage points Redlined draft with proposed amendments Written strategic recommendations Successful completion may lead to further paid phases, including negotiation and redrafting support.
