Assistant Vice President and Associate Corporate Counsel Location: Chicago – Fulltime About Us: ISMIE is a Chicago based national professional liability insurance company that provides insurance coverage for health care professionals, small health care facilities and other professionals. About the Position: Company is seeking an Assistant Vice President and Associate Corporate Counsel to provide legal services to all divisions within the Companies to ensure that the interests of the Companies are protected, to ensure that all business conducted by the Companies is in compliance with all applicable laws and regulations and to support the efficient operations of the Legal Services Division. As a member of Legal Services Division, this position shall assist in the oversite of all legal aspects of company operations and facilitate all activities necessary to effectuate the purpose and goals of the Legal Services Division. Primary Responsibilities: · Respond to all legal inquiries from all Divisions of the Companies and staff, as assigned. · Draft legal opinions, as assigned. · Conduct legal review of wide range of contracts through the Vendor Management System. · Negotiate, revise and draft various agreements to ensure protection of the Companies’ interests and compliance with applicable laws. · Review and evaluate company publications to ensure legal compliance. · Provide council and committee support, as needed. · Participate and provide legal input in the enterprise committees and work groups as assigned. · Assist in review of legislation and rules including drafting legislation and comment letters. · Attend Board and other meetings and prepare reports for same, as assigned. · Draft corporate governance documents as necessary. · Staff task forces, councils or committees as assigned. · Draft appellate amicus briefs on issues impacting the business and industries of the Companies. · Provide quality service in all areas of responsibility. · Exercise discretion and maintain high level of confidentiality in all areas of responsibility. · The above description is not intended to cover or contain a comprehensive listing of all activities, duties, and responsibilities that are required. Education and Experience Required for Position: · Bachelor’s degree · Juris Doctor degree from an accredited law school • Minimum of three to seven years of experience at a law firm or as in-house counsel. • Admitted to practice law in Illinois with active license. • Prior experience representing insurance company clients and/or companies in heavily regulated industries. • Prior experience representing not-for-profit entities. • Preferred experience in appellate practice. Experience and Specific Skills Required for Position: · Excellent verbal and written communication skills with the ability to communicate complex legal concepts clearly and concisely. • Demonstrated experience drafting and negotiating variety of complex commercial agreements. · Demonstrated knowledge of legal and regulatory requirements and controls relevant to the Insurance Industry and not-for-profits. · Strong working knowledge of the Health Insurance Portability and Accountability Act. · Familiarity with industry practices and professional standards. · High degree of professionalism, integrity and professional ethics. · Service-oriented demeanor. · Well organized with exceptional attention to detail. · Ability to handle high levels of stress and complete work with a high sense of urgency. · Ability to multi-task. · Action oriented with a strong work ethic. · Ability to use all Microsoft suite products, Legal Track and DocuSign. Compensation and Benefits: The pay range is estimated to be between $115,000 and $190,000 per year for residents of the greater Chicagoland area. * The Company has a robust benefit package.
